1. GENERAL NOTE
These Terms and Conditions (T&Cs) apply to any contract for the supply of goods, electrical installations, or services rendered by INC Unlimited, whether the agreement arises from:a) Any offer made by INC Unlimited and accepted by the client/customer; or
b) Any offer made by the client in response to a quotation from INC Unlimited.Important Notice:
These T&Cs may include clauses that:
- Limit the liability of INC Unlimited;
- Create obligations or responsibilities for the client;
- Require the client to indemnify INC Unlimited;
- Serve as acknowledgment by the client of facts and responsibilities.
By engaging INC Unlimited, you confirm that you have read, understood, and agreed to these Terms and Conditions.
2. DEFINITIONS AND INTERPRETATION
2.1 Client/Customer: The person or entity accepting a quotation or authorizing work. “You” refers to the client/customer.
2.2 Authorized Representative: Any person authorized by the client to request, approve, or accept work from INC Unlimited.
2.3 Words importing singular include the plural and vice versa; any gender includes all others.
2.4 Headings are for convenience and do not affect interpretation.
2.5 “Days” refers to calendar days unless specifically stated as business days (Monday–Friday, excluding public holidays).
3. ORDERS
3.1 Orders via email, telephone, or verbally are treated as offers by the client, subject to acceptance by INC Unlimited.
3.2 A contract is formed when the client accepts a quotation or pays any amount toward the quoted work.
3.3 T&Cs cannot be altered unless agreed in writing by an authorized representative of INC Unlimited.
4. PRICES
4.1 Prices quoted by INC Unlimited at the time of order are applicable.
4.2 All quotations are valid for seven (7) days unless stated otherwise.
4.3 Prices are estimates; final pricing may vary after inspection or review of client specifications.
4.4 Prices include labor only, unless materials are explicitly listed.
4.5 Prices exclude VAT unless stated.
4.6 Unless otherwise quoted, materials must be supplied by the client.
5. PAYMENT
5.1 Inspection fees are payable upfront.
5.2 Repair work requires payment after quote approval.
5.3 Deposits may be required before any repair work is performed.
5.4 Full payment is required before the COC is issued.
5.5 Late payments incur interest at 24% per annum, compounded monthly.
5.6 Clients remain liable for full payment regardless of insurance claims or other third-party matters.
5.7 INC Unlimited may suspend work or cancel contracts if payments are not made according to terms.
6. DELIVERY / ACCESS
6.1 Work or service delivery times are estimates only.
6.2 The client must provide access to premises and all power/water points.
6.3 Sensitive equipment must be switched off; INC Unlimited is not liable for damage to devices left powered during work.
6.4 Animals must be secured to prevent injury.
6.5 The client must provide the identity of an authorized representative if unavailable.
7. OWNERSHIP AND RISK
7.1 Ownership of goods/materials supplied by INC Unlimited remains with the company until full payment is received.
7.2 Risk passes to the client at the time of delivery or work commencement.
7.3 INC Unlimited may reclaim goods if invoices remain unpaid.
8. EXCLUSIONS AND LIABILITY
8.1 INC Unlimited is not liable for:
- Indirect or consequential damages;
- Loss of profit;
- Claims arising from minor negligence;
- Pre-existing defects not caused by INC Unlimited.
8.2 Clients indemnify INC Unlimited against claims from failure to disclose site conditions, pre-existing damage, or non-compliance with regulations.
9. GUARANTEE / WARRANTY
9.1 Only workmanship performed by INC Unlimited is covered.
9.2 Warranty is void if tampered with by third parties or the client.
9.3 Defective workmanship must be reported in writing within 7 days of discovery.
9.4 Material goods carry the manufacturer’s warranty; INC Unlimited only guarantees items it supplies.
9.5 INC Unlimited is not responsible for defects due to misuse, neglect, improper storage, lightning, or unauthorized alterations.
10. INSTALLATION SPECIFICATIONS
10.1 All installations are carried out per manufacturer guidelines and relevant electrical standards (SANS 10142).
11. CLIENT RESPONSIBILITIES
11.1 Provide safe access and necessary utilities.
11.2 Ensure sensitive devices are powered off before work begins.
11.3 Inform INC Unlimited of concealed electrical, water, or sewage lines to avoid damage.
11.4 Ensure all required permits and regulatory compliance are in place.
11.5 Report any faults in delivered goods within 5 days.
12. FORCE MAJEURE
12.1 INC Unlimited is not liable for delays caused by circumstances beyond its control, including strikes, transport delays, natural disasters, or acts of war.
13. BREACH / DEFAULT
13.1 INC Unlimited may terminate contracts immediately without liability if the client:
- Breaches these T&Cs;
- Becomes insolvent, enters liquidation, or ceases business;
- Fails to pay debts when due.
14. LEGAL AND GOVERNING LAW
14.1 The client’s premises are deemed their legal domicile.
14.2 All confidential information must be kept private and not disclosed without written consent.
14.3 These T&Cs are governed by South African law.
14.4 Parties consent to the jurisdiction of the Magistrates Court or, where applicable, the High Court.
14.5 The client is responsible for all legal costs, including attorney and client scale, if INC Unlimited must pursue collection.
15. SEVERABILITY
15.1 If any clause is deemed invalid or unenforceable, it will be severed or amended without affecting the remainder of the T&Cs.
